Payment & Billing Consent

Your authorization for how CaliberRx and its partners charge your payment method.

THIS NOTICE DESCRIBES HOW MEDICAL INFORMATION ABOUT YOU MAY BE USED AND DISCLOSED AND
HOW YOU CAN GET ACCESS TO THIS INFORMATION. PLEASE REVIEW IT CAREFULLY.

1. Authorization to Charge

By providing your payment method to CaliberRx and completing the checkout process, you authorize CaliberRx LLC and
its designated payment processors (currently Stripe, Inc. and GreenPay) to charge that payment method for: (a) your
CaliberRx membership fees on a recurring basis, (b) consultation fees charged by the provider group, (c) medication
charges billed by the dispensing pharmacy, and (d) any applicable taxes, shipping fees, or administrative adjustments.
You represent that you are authorized to use the payment method you provide and that all information you supply is
accurate.

2. Recurring Billing

CaliberRx membership is a subscription service. Your payment method will be charged automatically at the start of each
billing cycle (typically monthly or quarterly, depending on the plan you select) until you cancel. You will receive an
electronic receipt for each charge. If you do not cancel before a new billing cycle begins, the charge for that cycle will be
processed.

3. Separate Charges by Counterparty

Because CaliberRx operates as a management services organization, amounts you pay may be processed as separate
charges from different counterparties. In a typical transaction, you may see charges from:

Each charge will be described clearly on your billing statement. Where we combine charges into a consolidated payment
for convenience, the consolidated charge will be identified as such.

4. Price Changes

CaliberRx may modify membership pricing with at least fourteen (14) days’ advance notice, delivered by email to the
address on file and/or displayed in your account portal. Price changes take effect at the start of your next billing cycle
following the notice period. Pricing for consultations and medications is set by the provider group and dispensing
pharmacy respectively and is communicated to you at the time of service or dispensing.

5. Failed Payments and Updated Payment Methods

If your payment method is declined, expired, or otherwise unable to process a charge, we will attempt to notify you by
email and retry the charge over a short period. You are responsible for maintaining a valid payment method on file.
Outstanding balances remain your responsibility regardless of whether a retry is successful.
If a payment is not received within fifteen (15) days of the original invoice, CaliberRx may charge the payment method on
file for the outstanding amount without further notice. If payment cannot be collected within an additional thirty (30) days
after that attempt, your membership may be suspended or terminated consistent with the Terms of Service. Reinstating a
suspended or terminated account may be subject to clearing the past-due balance and to pricing in effect at the time of
reinstatement.

6. No-Show and Late-Cancellation Fee

If you schedule a live consultation with the provider group and fail to attend, or cancel less than twenty-four (24) hours
before the scheduled time, you may be charged a no-show fee of thirty U.S. dollars ($30.00) to your payment method on
file. This fee is charged by the provider group and reflects the cost of clinician time reserved for you. The fee does not
apply where you reschedule within a reasonable window, where a technology failure prevents attendance, or where
otherwise waived by the provider group in its sole discretion.

7. Taxes

Amounts displayed on our website are exclusive of applicable sales and use taxes unless otherwise indicated. Where
sales or use tax applies to any portion of your transaction, it will be calculated and added at checkout or at the time of
billing, and remitted to the appropriate taxing authority.

8. Insurance and Self-Pay

The CaliberRx program is a cash-pay (self-pay) program. CaliberRx, the provider group, and the dispensing pharmacy do
not submit claims to commercial insurance, Medicare, Medicaid, TRICARE, or any other federal or state healthcare
program on your behalf, and you agree that you will not submit such claims yourself for services or medications paid for
through the CaliberRx program. You may be eligible to use a Health Savings Account (HSA) or Flexible Spending
Account (FSA) for eligible medical expenses; CaliberRx does not verify HSA or FSA eligibility, and you are responsible
for confirming eligibility with your plan administrator.

9. Compounded Medication Responsibility

If you are prescribed and choose to receive a compounded medication through the CaliberRx program, you acknowledge
and agree that all charges for the compounded medication are self-pay amounts, are not a covered benefit under any
health insurance plan, and are your sole financial responsibility. You agree that you will not submit, and will not cause any
third party to submit, a claim to any health insurance plan, HSA/FSA reimbursement program, or federal or state
healthcare program for the cost of compounded medications dispensed through the program, unless expressly permitted
by the applicable plan or program.

10. Collections and Adverse Actions

If amounts owed to CaliberRx, the provider group, or the dispensing pharmacy remain unpaid, we may engage a thirdparty
collection agency or take other lawful action to recover the balance. You agree to pay reasonable costs of
collection, including collection agency fees and reasonable attorneys’ fees, to the extent permitted by law. Where
permitted by applicable law, CaliberRx and the provider group and their agents may contact you by phone call, text
message, email, or other means — including the use of automated telephone dialing systems and pre-recorded or
artificial voice messages — at the contact information on file, for the purpose of collecting amounts owed. You may
withdraw consent for specific communication methods at any time by contacting support@caliberrx.co, provided that
withdrawal does not eliminate your underlying payment obligation.

11. Cancellation

You may cancel your membership at any time through your account portal or by emailing support@caliberrx.co.
Cancellation stops future billing as described in our Refund Policy. Cancellation does not by itself terminate prescriptions
already issued or shipments already in process, and it does not relieve you of any outstanding payment obligations.

12. Guarantor

If another person has agreed to be financially responsible for your care (a “Guarantor”) and you have provided that
person’s information at enrollment, you authorize CaliberRx and its counterparties to bill the Guarantor for amounts you
would otherwise owe. You remain personally responsible for any amount the Guarantor does not pay.

13. Electronic Records Consent

You consent to receive receipts, invoices, billing notices, and payment-related disclosures electronically by email to the
address associated with your account. You may withdraw this consent only by closing your account; electronic delivery is
required to participate in the program.
